• Prices are subject to change without notice. The price applicable to your order is the price confirmed at the time of checkout
• Product images and descriptions are provided for reference only. Actual products may vary slightly in appearance
• Technical specifications (dimensions, thread types, IADC codes) are provided in good faith and based on manufacturer data. For critical applications, please verify specifications with our technical team before ordering
• We reserve the right to correct any pricing errors or inaccuracies on the website, even after an order has been placed

By placing an order, you are making an offer to purchase the selected products at the stated price. Your order is accepted and a binding contract formed only when we send you an order confirmation email.

• We reserve the right to decline or cancel any order for any reason, including but not limited to product unavailability, pricing errors, or suspected fraudulent activity
• Full payment is required at the time of order unless a credit account has been established in writing with our sales team
• Accepted payment methods include major credit/debit cards, bank transfers (ACH/wire), and other methods as displayed at checkout
• All transactions are processed securely. VBM Drill Bits does not store credit card details on our servers
• For large or repeat orders, net payment terms may be available upon credit approval — contact our sales team for details

Shipping and delivery of all orders is governed by our Shipping Policy, which forms part of these Terms and Conditions. Please review the Shipping Policy in full before placing your order.

• Delivery timelines are estimates only and are not guaranteed. VBM Drill Bits is not liable for delays caused by carriers, customs, weather, or other factors outside our control
• Risk of loss and title to products pass to the customer upon handover to the carrier
• It is the customer's responsibility to provide an accurate and complete shipping address. VBM Drill Bits is not responsible for orders lost or delayed due to incorrect address information provided by the customer

We want you to be satisfied with your purchase. Returns and refunds are handled as follows:

• Eligible returns: Unused, unmodified products in their original packaging may be returned within 30 days of delivery, subject to prior written authorisation from our sales team
• Return authorisation: All returns require a Return Merchandise Authorisation (RMA) number issued by VBM Drill Bits. Returns received without an RMA will not be accepted
• Return shipping: The customer is responsible for return shipping costs unless the return is due to our error (wrong item shipped, manufacturing defect)
• Restocking fee: A restocking fee of up to 15% may apply to eligible returns at our discretion
• Non-returnable items: Custom-engineered products, special-order items, used or field-run bits, and items returned beyond the 30-day window are not eligible for return or refund
• Refunds: Approved refunds will be processed to the original payment method within 7–10 business days of receiving and inspecting the returned items

To initiate a return, please contact us at sales@vbmdrillbits.com with your order number and reason for return.

VBM Drill Bits warrants that its products are free from defects in materials and workmanship at the time of shipment, subject to the following terms:

• Warranty claims must be submitted within 90 days of the original purchase date
• The warranty covers manufacturing defects only and does not cover damage resulting from improper use, incorrect bit selection, incorrect weight-on-bit or rotary speed, abrasive formations beyond rated specifications, or normal wear and tear
• Drill bits and downhole tools are consumable items subject to formation wear — reduced run life is not a warranty defect unless caused by a manufacturing fault
• To submit a warranty claim, contact our technical team with the order number, bit serial number (if applicable), formation type, and a description of the issue
• Warranty resolution may include replacement of the product, repair, or a credit at our sole discretion

All content on the VBM Drill Bits website — including but not limited to text, images, product photography, technical drawings, logos, graphics, videos, and software — is the intellectual property of VBM Drill Bits, Inc. or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

• You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our website without our prior written consent
• Product names, the VBM Drill Bits name, and associated logos are trademarks of VBM Drill Bits, Inc. Unauthorised use is prohibited
• Technical documentation, product datasheets, and catalogs provided by VBM Drill Bits are for the customer's internal use only and may not be shared or republished without permission

To the fullest extent permitted by applicable law, VBM Drill Bits, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our products, website, or services — including but not limited to:

• Loss of profits, revenue, or business opportunities
• Rig downtime, non-productive time (NPT), or project delays
• Damage to drilling equipment, wellbore, or other property
• Loss of data or business interruption
• Any claims arising from the performance or failure of our products in downhole conditions

Our total cumulative liability to you for any claims arising out of or related to these Terms or your use of our products shall not exceed the total amount paid by you for the specific product(s) giving rise to the claim.

You agree to defend, indemnify, and hold harmless VBM Drill Bits, Inc. and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use or misuse of our products or website
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim by a third party arising from your use of VBM Drill Bits products

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

• Any disputes arising out of or related to these Terms or your use of our products or website shall first be attempted to be resolved through good-faith negotiation between the parties
• If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association (AAA)
• Nothing in this clause prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm
• You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action

VBM Drill Bits reserves the right to update or modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. We encourage you to review these Terms periodically.

Your continued use of our website or placement of an order after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our website and services.
